Buyer understands and agrees to the DirectDomains.com General Terms of Use ("TOU") which are incorporated herein fully by reference. Buyer agrees to pay the Total Price listed for the Domain(s) selected for purchase. DirectDomains.com agrees to email Buyer detailed instructions (including a password or registry key) for permanently transferring control of the Domain(s) within 72 business hours of cleared payment from Buyer. If there is a delay in the transfer process for any reason, DirectDomains.com will notify, either via email or phone, Buyer of the transfer status within 48 business hours. Buyer acknowledges that the transfer process for the Domain(s) must comply with ICANN accreditation policies and procedures. Information regarding ICANN and registrar policies and procedures can be found at www.icann.org. To the extent allowed by the law, Buyer agrees to indemnify and hold DirectDomains.com harmless from any and all liability or claims or controversies that may arise due to the sale of the Domain(s) or which may arise out of or in connection with this agreement. DirectDomains.com and Buyer both represent to the other that it has full authority to enter into this agreement and perform its terms. Buyer agrees to take control of the Domain(s) within 7 days of sale, and Buyer acknowledges it is solely responsible for renewing the Domain registration(s) with the registrar of record prior to the expiration date listed in "WHOIS". The registrar of record can be determined by searching at www.nsi.com/whois. A WHOIS lookup can be found at WhoIs.org, among other places.
You represent that you do not hold or assert any Trademark, copyright, or other intellectual property right in or to the domain name, or any portion thereof, that is the subject of this Agreement. In the alternative, if you do now or intend to in the future hold or assert such rights, you do on your own behalf and on behalf of any person who you represent hereby waive such claims and release Newfold Digital and its parents, subsidiaries, successors, assigns, attorneys, contractors, agents, employees, officers, directors, shareholders, and affiliates from any and all claims arising from such rights. To the extent that such waiver and release of claims is determined to be invalid in whole or in part for any reason, you agree that your remedy in any dispute with DirectDomains.com shall be limited to return of the price you paid for the domain name that is the subject of this agreement.
You hereby consent that until you update the nameservers on your domain, DirectDomains may point your domain name to one of DirectDomains’, or DirectDomains' affiliates', Web pages as a default landing page and that it may place advertising on the Web page (the “Parked Pages”). The Parked Pages may contain advertisements and other materials selected by DirectDomains, in DirectDomains' sole discretion. This may include, but is not limited to, third-party websites, third-party product and service offerings, and/or Internet search engines. DirectDomains reserves the right to collect and retain all revenue obtained from such advertising and other materials and you shall not be entitled to receive any funds related to the monetization of the Parked Pages. You can update the nameservers by logging in to your registrar account (where the domain name is currently managed) and following the instructions provided by the registrar.
Buyer represents that it does not act on behalf of any other person asserting such rights.
DirectDomains.com reserves the right to rescind and/or make null and void the sale of Domain(s) if Buyer fails to take control of the Domain(s), in accordance with the instructions provided, within 90 days of the sale of the Domain(s). ALL DOMAIN SALES ARE FINAL and subject to prior sale.
All correspondence to DirectDomains.com should be addressed to Newfold Digital, Attn: DirectDomains.com, 5335 Gate Parkway, Jacksonville, Florida 32256. This agreement is subject to the laws of the State of Maryland. Buyer agrees to waive questions of jurisdiction and venue and agrees that all disputes brought by Buyer shall be in the courts of Montgomery County, Maryland.
